The course is a summary and specific review of cross-border corporate finance tax issues, structures and tax planning. The topics covered include intra-group funding, business investment, mergers and acquisitions, restructuring and the repatriation of profits through interest, royalties and dividends. The course summarises taxation issues relating to corporate finance in several jurisdictions, including the US, UK, France, Germany, Italy, Luxembourg, The Netherlands, Sweden, Switzerland, Denmark and Australia.
The transactions reviewed in the course include cross-border related party lending, external funding, leasing, project finance, securitisation, and the treatment of derivatives such as swaps and options. The course also looks at related tax issues including thin-capitalisation, controlled foreign corporations (CFC), withholding tax and anti-avoidance. The emphasis is on practical international tax planning structures and includes specific examples and case studies.
